Terms of Service

1. Services
Romualdo Santos ("I", "me", "the Contractor") provides software engineering services including, but not limited to, web application development, API design and integration, software architecture consulting, and test automation. The specific scope of work is defined in a Statement of Work (SOW) agreed upon before each engagement.
2. Engagement and Payment
All engagements begin upon execution of a signed SOW and receipt of any agreed deposit. Payment terms, rates, and milestones are specified in the SOW. Invoices are due within 15 days of issuance unless otherwise agreed. Late payments may incur a 1.5% monthly interest charge.
3. Intellectual Property
Upon receipt of full payment for the relevant milestone or project, all custom code and deliverables produced exclusively for the client transfer to the client. Pre-existing tools, libraries, and frameworks remain the property of their respective owners. Open-source components used are subject to their respective licenses.
4. Confidentiality
I treat all client information, business logic, data, and technical details as confidential and do not disclose them to third parties without written consent. This obligation persists after the engagement ends. Clients may request an NDA prior to project discussions.
5. Revisions and Scope Changes
Work outside the agreed SOW scope requires a written change order with updated timeline and cost. I will notify the client promptly if any requested changes affect delivery dates or budget.
6. Warranties and Liability
I warrant that deliverables will conform to the agreed specifications at delivery. Liability is limited to the fees paid for the specific deliverable in question. I am not liable for indirect, consequential, or incidental damages.
7. Termination
Either party may terminate an engagement with 14 days written notice. The client is responsible for payment of all work completed up to the termination date. Deposits for unused milestones are refundable on a pro-rata basis.
8. Governing Law
These terms are governed by the laws of Brazil. Any disputes will be resolved through good-faith negotiation first, followed by arbitration if necessary.
